Header, Preamble, and Recitals
This Simple Purchase Agreement (the "Agreement") is made effective as of September 30, 2026 (the "Effective Date") by and between Jordan Lee, on behalf of Acme Equipment LLC ("Seller"), and Taylor Morgan, on behalf of Riverton Workshop LLC ("Buyer"). Seller and Buyer may each be referred to in this Agreement as a "Party" and collectively as the "Parties."
WHEREAS, Seller owns, controls, or otherwise has the right to transfer the assets more particularly described in Exhibit A attached hereto and incorporated herein by this reference (collectively, the "Assets"); and
WHEREAS, Buyer desires to purchase, acquire, and accept from Seller, and Seller desires to sell, assign, transfer, convey, and deliver to Buyer, the Assets on the terms and subject to the conditions set forth in this Agreement.
1. Purchase and Sale of Assets
Seller hereby agrees to sell, assign, transfer, convey, and deliver to Buyer, and Buyer hereby agrees to purchase and accept from Seller, all of Seller’s right, title, and interest in and to the Assets, free and clear of all liens, claims, encumbrances, security interests, and restrictions other than those expressly disclosed in this Agreement or in Exhibit A.
The transfer of the Assets includes all possession, title documents, manuals, records, keys, access credentials, and other materials reasonably necessary for Buyer to receive the practical benefit of the Assets, to the extent applicable to the nature of the Assets being sold.
Important: Exhibit A should be completed with sufficient specificity to identify each transferred asset, including item descriptions, model references, serial numbers, quantities, and any exclusions or condition notes.
2. Purchase Price and 3. Closing Mechanics
As full consideration for the purchase and sale of the Assets, Buyer shall pay Seller a total purchase price of $10,000 (the "Purchase Price"), payable in the following installment stages:
- Execution Payment: Buyer shall pay Seller $2,000 upon execution of this Agreement.
- Delivery Payment: Buyer shall pay Seller $3,000 upon Seller’s physical delivery of the Assets to Buyer.
- Final Balance: Buyer shall pay Seller the remaining balance of $5,000 within 10 days following delivery of the Assets.

The closing of the transactions contemplated by this Agreement (the "Closing") shall occur on October 15, 2026, or on such other date as the Parties may agree in writing. At Closing, Seller shall deliver title, possession, and all transfer documentation reasonably required for the Assets, and Buyer shall deliver those payment amounts then due under the installment schedule.
Risk of loss for the Assets shall pass from Seller to Buyer upon completed delivery of the Assets at Closing, unless the Parties expressly state a different delivery or possession arrangement in Exhibit A or in a written closing supplement.
If any installment is not paid when due, the non-breaching Party may pursue any rights and remedies available under this Agreement and applicable law, subject to any cure rights the Parties may separately agree in writing.
4. Representations and Warranties
5. Governing Law, 6. Entire Agreement, and 7. Counterparts
- Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to any conflict-of-laws or choice-of-law principles that would require the application of the laws of another jurisdiction.
- Entire Agreement. This Agreement, including Exhibit A and any written schedules or amendments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written negotiations, discussions, understandings, and agreements relating to the purchase and sale of the Assets.
- Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted electronically or by approved e-signature platform shall be deemed effective and enforceable to the fullest extent permitted by applicable law.
