This Master Service Agreement (the “Agreement”) is entered into as of October 15, 2025 (the “Effective Date”), by and between [sender.company], a [Sender.State] entity organized under the laws of [Sender.State], with its principal place of business at [Sender.StreetAddress] (the “Company”), and [Client.Company] a [Client. Type of Legal Entity] organized under the laws of [Client.State], with its principal place of business at [Client.StreetAddress] (the “Client”).

In consideration of the mutual promises and agreements set forth herein, [sender.company] and [Client.Company] (individually, a “Party” and collectively, the “Parties”) agree to the following terms:

1. CONFIDENTIALITY

  • 1.1 "Confidential Information" refers to any non-public, proprietary information—whether or not subject to patent or copyright protection, and regardless of whether it is currently patented or copyrighted—owned or controlled by the Disclosing Party.
  •
  • This includes information in any form, whether tangible or intangible, and information obtained through the observation or examination of the Disclosing Party's facilities or operations.
  •
  • Confidential Information encompasses, but is not limited to, the following: the existence or terms of this Agreement; the fact that either Party has entered into or is providing/receiving services under this Agreement; trade secrets; know-how; designs; product samples; formulations; prototypes; data; processes; formulas; methods; materials; analyses; reports; research notes; compilations; technology; manufacturing techniques; pricing information; and business-related, non-public information concerning services, equipment, procedures, customers, suppliers, employees, sales, marketing, financials, and other similar data.
  • 1.2 Confidential Information does not include information that:
    (a) Becomes publicly available through no breach of this Agreement by the Receiving Party;
    (b) Was already lawfully in the possession of the Receiving Party prior to its disclosure by the Disclosing Party, as evidenced by contemporaneous written records;
    (c) Is lawfully obtained by the Receiving Party from a third party without any confidentiality obligations, unless the Receiving Party is aware that the third party is under a confidentiality obligation (whether contractual, legal, fiduciary, or otherwise) to the Disclosing Party or any other party concerning that information; or
    (d) Is independently developed by the Receiving Party without the use of or reference to the Disclosing Party’s Confidential Information, as shown by contemporaneous written records.

    2. PERFORMANCE OF SERVICES

2.1 The Parties acknowledge that the Client may request services by executing a Work Order, which shall be governed by the terms of this Agreement. The Company commits to performing all Services in good faith, with reasonable skill, care, and diligence. In the event of a conflict between the terms of a Work Order and this Agreement, the terms of this Agreement shall take precedence, unless explicitly stated otherwise in the Work Order.

    3. PLACEMENT OF ORDERS

3.1 All orders must be placed via a Work Order, which shall be duly signed by both Parties.
3.2 Any changes to the services specified in a Work Order must be mutually agreed upon in writing by both Parties. Such changes should be reasonable and consider the timelines for the affected Services.
3.3 Adjustments to the pricing must be agreed upon in writing by both Parties before the Services are provided.
1.3 During the term of this Agreement, the Parties may exchange Confidential Information as necessary to fulfill their respective obligations. The Party providing Confidential Information will be referred to as the "Disclosing Party," and the Party receiving such information will be referred to as the "Receiving Party."
  • 1.4 The Receiving Party agrees to maintain the confidentiality of all Confidential Information received from the Disclosing Party, using the same degree of care as it would to protect its own sensitive information, but in no case less than reasonable care.
  •
  • Disclosure of Confidential Information shall be restricted to the Receiving Party’s directors, officers, employees, affiliates, and/or subcontractors (collectively, "Representatives") who have a legitimate need to know for the purpose of fulfilling this Agreement and who are bound by confidentiality obligations that are at least as stringent as those set forth in this Agreement.
  •
  • The Receiving Party shall not copy, reproduce, or use any designs, samples, prototypes, or any part of the Disclosing Party’s Confidential Information for any purpose other than as required by this Agreement.
  •
  • The Receiving Party shall be fully responsible for any breach of this Agreement by itself or its Representatives.
  • 1.5 Notwithstanding any other provision in this Agreement, the Receiving Party may disclose Confidential Information if required by applicable law or legal process.

In such cases, the Receiving Party shall, where possible, notify the Disclosing Party in advance to provide a reasonable opportunity for the Disclosing Party to object or seek a protective order.

Notice may not be required if it is impractical or prohibited by law. Information disclosed under legal obligation will continue to be treated as Confidential Information for all other purposes under this Agreement.
1.6 Upon the written request of the Disclosing Party, the Receiving Party shall return or destroy all Confidential Information, as directed by the Disclosing Party. However, the Receiving Party may retain one copy of such Confidential Information if required for record-keeping or compliance purposes in the ordinary course of business.

    4. PRICE AND TERMS OF PAYMENT

4.1 The Client shall pay the Company for the Services rendered in accordance with the pricing and terms outlined in the applicable Work Order.
4.2 The fees for Services exclude any applicable local, state, federal, or international taxes, including sales or use taxes, excise taxes, goods and services tax (GST), value-added tax (VAT), business or professional services taxes, consumption taxes, or packaging and shipping charges. The Client is solely responsible for any such taxes, which shall be determined as of the invoice date.
4.3 Payment for all invoices is due within thirty (30) days from the invoice date, except for any amounts reasonably disputed in good faith. Any dispute must be communicated in writing no later than the due date of the invoice, specifying the nature of the dispute. The Client agrees to settle any undisputed amounts within the specified period.
4.4 Payments shall be made by check, bank transfer, or direct debit. Any alternative payment methods require prior approval from the Company. The Client agrees to provide all necessary banking details for payment processing.

    5. ESTIMATED DELIVERY DATES AND TURNAROUND TIMES

5.1 The delivery dates and turnaround times indicated in any Work Order are estimates and do not represent a firm commitment by the Company. However, the Company will make commercially reasonable efforts to meet the estimated delivery dates and turnaround times stated in each Work Order.
5.2 Unless otherwise agreed upon in writing, notification of the completion of deliverables will be provided via email or other electronic means, where feasible. Deliverables will be promptly delivered to the designated individuals specified by the Client in the Work Order upon completion of the Services.
5.3 The Company will not be held liable for any delays in delivery or progress of Services caused by actions or omissions of the Client. The Client agrees to make commercially reasonable efforts to provide any required approvals or feedback in a timely manner during the course of the Services.

    6. TRANSFER OF PROPERTY AND INTELLECTUAL PROPERTY RIGHTS

6.1 The Company reserves the right to collect, aggregate, and use any data generated in connection with the provision of Services. For the purposes of this Agreement, "data" refers to any information derived from or inferred through the provision of Services under this Agreement.
6.2 The Client acknowledges and agrees that all inventions, discoveries, trade secrets, know-how, improvements, methods, systems, software programs, practices, procedures, processes, and proprietary materials—including, without limitation, structural and functional information and other data—whether or not subject to patent or copyright protection ("Intellectual Property"), that are owned or controlled by the Company as of the Effective Date, shall remain the exclusive property of the Company.

    7. LIMITED WARRANTIES AND RESPONSIBILITIES

7.1 All Services provided under this Agreement shall be carried out with a commercially reasonable level of care. However, the Client acknowledges that the quality or outcomes of the Services may be influenced by factors outside the Company’s control. Therefore, the Client should independently assess the accuracy and suitability of the Services and any associated deliverables.
7.2 Each Party represents and warrants that: (i) it has full authority to enter into this Agreement and that the person signing has been duly authorized to do so; (ii) this Agreement is legally binding upon execution; and (iii) the performance of this Agreement does not conflict with or violate any other legal obligations of either Party.

    8. REMEDY FOR INSUFFICIENT SERVICES

8.1 If any Services are performed inadequately or improperly by the Company, the Client’s sole remedy will be either: (i) to request that the Company re-perform the deficient Services, or (ii) to request a refund of any amounts paid for the inadequately performed Services.
8.2 Any objections regarding the performance of Services must be submitted by the Client within thirty (30) days from the date the Services were provided.

    9. FORCE MAJEURE

9.1 Neither Party shall be liable for any delays, errors, damages, or other issues arising from events or circumstances that are unforeseen or beyond that Party’s reasonable control.

    10. INDEMNIFICATION AND LIMITATION OF LIABILITY

10.1 The Company shall defend, indemnify, and hold harmless the Client from and against any liabilities, costs, damages, claims, suits, actions, debts, charges, and expenses (including reasonable attorneys’ fees, court costs, and settlement amounts, collectively “Damages”) asserted by a third party against the Client
10.2 The Client shall defend, indemnify, and hold harmless the Company, including its employees, officers, agents, representatives, successors, and assigns, from and against any Damages asserted by a third party against the Company. The Client shall not be liable for any Damages caused by the Company’s own negligence or willful misconduct.

    11. TERM AND TERMINATION

11.1 This Agreement shall become effective on the Effective Date and shall remain in force for one (1) year, unless terminated earlier in accordance with this Section.
11.2 Either Party may terminate this Agreement or any Work Order at any time for any reason, provided that at least sixty (60) days’ prior written notice is given to the other Party.

This Agreement and any applicable Work Orders may be terminated immediately upon written notice if:

    (i) the other Party commits a material breach of any term of this Agreement or a Work Order that is either irremediable or, if remediable, remains uncured thirty (30) days after written notice of such breach (or five (5) days in the case of non-payment of any invoice when due); or (ii) the other Party files for bankruptcy or becomes subject to an involuntary bankruptcy petition under the U.S. Bankruptcy Code or any successor statute.
11.3 If this Agreement is terminated while any Work Orders remain in effect, those Work Orders shall continue to be governed by the terms of this Agreement. Termination of one Work Order shall not affect any other Work Order or the Agreement itself, which shall continue in full force and effect until properly terminated under this Section.
11.4 Upon termination of any Work Order, the Client shall pay the Company for all Services performed and documented expenses incurred up to the effective termination date within thirty (30) days.

    12. NON-EXCLUSIVITY

12.1 Subject to the terms of this Agreement, the Client appoints the Company as a non-exclusive service provider, and the Company accepts such appointment. This Agreement does not restrict the Client from obtaining similar or identical services from other providers.

    13. GOVERNING LAW

13.1 This Agreement shall be governed by and construed in accordance with the laws of the State of [Sender. State], without regard to its conflict of law principles. In the event of any dispute concerning the interpretation or application of this Agreement, the Parties agree to first seek resolution through negotiation and consultation between the senior executives of each Party.

    14. MISCELLANEOUS

    14.1 Independent Contractor
The Company will perform its obligations under this Agreement as an independent contractor, and not as an agent, employee, partner, or joint venturer of the Client. Neither Party shall have the authority to bind or commit the other in any manner, nor shall they represent to any third party that they have the power to incur any commitments, expenses, liabilities, or obligations on behalf of the other Party, except as explicitly authorized in writing under this Agreement, a Work Order, or any other document granting such authority.
    14.2 Amendment
No term or provision of this Agreement or any related Work Order may be amended, modified, waived, or terminated except through a written agreement that specifically identifies the provision being amended, modified, added, waived, or terminated, and is signed by an authorized representative of each Party.
    14.3 Notices
Any notice required or permitted under this Agreement must be in writing and shall be deemed effective: (i) on the date of receipt if delivered in person, electronically, or by a reputable overnight delivery service; or (ii) three (3) days after the postmark date if sent by registered or certified mail, return receipt requested, with postage prepaid, to the addresses specified on the first page of this Agreement.
    14.4 Waiver
A waiver of any term, provision, or condition of this Agreement or any Work Order shall be valid only if made in writing. No waiver, whether granted once or multiple times, shall be deemed a continuing waiver or estoppel of that term, provision, or condition, or of any other term of this Agreement or Work Order. Additionally, no failure or delay by either Party in exercising any right or remedy under this Agreement shall constitute a waiver of that right, nor shall it limit or prevent its future exercise.
    14.5 Severability
If a court determines that any provision of this Agreement is unenforceable, that provision shall be rendered void only to the extent necessary to comply with the court's decision. If possible, the unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the unenforceable provision, effective as of the Effective Date. Such a determination shall not affect the enforceability of the remaining provisions of this Agreement, which shall remain in full force and effect to the fullest extent permitted by law.
    14.6 Entire Agreement
This Agreement, along with any applicable Work Order, constitutes the entire understanding between the Parties concerning the subject matter of this Agreement and supersedes all prior negotiations, agreements, representations, understandings, and commitments related to such subject matter.
