Master Service Agreement

Template for future Statements of Work between a service provider and a client. This document is designed as a comprehensive, modular, and execution-ready legal framework for recurring or project-based services.
Formal Legal Template
Future SOW Framework
This Master Service Agreement is intended to govern the general legal and commercial relationship of the parties, while specific services, deliverables, fees, timelines, and acceptance criteria are to be defined in one or more separately executed Statements of Work.
Effective Date: [Insert Effective Date]
Between: [Provider Full Legal Name], [Provider Address] and [Client Full Legal Name], [Client Address]

1. Preamble, Recitals, and Definitions

This Master Service Agreement ("Agreement") is entered into as of [Insert Effective Date] (the "Effective Date") by and between [Provider Full Legal Name], a [State/Country and Entity Type] with its principal place of business at [Provider Address] ("Provider"), and [Client Full Legal Name], a [State/Country and Entity Type] with its principal place of business at [Client Address] ("Client"). Provider and Client may each be referred to herein as a "Party" and together as the "Parties."
The Parties desire to establish the general terms and conditions under which Provider may perform services for Client from time to time. The Parties intend that each project, workstream, or service engagement will be further described in one or more Statements of Work executed by the Parties and expressly made subject to this Agreement.
  1. "Statement of Work" or "SOW" means a written document executed by both Parties that references this Agreement and sets forth the specific services, deliverables, project assumptions, timelines, fees, dependencies, acceptance criteria, and any special terms applicable to a particular engagement.
  2. "Services" means the professional, consulting, technical, creative, implementation, support, advisory, or other services described in an applicable SOW.
  3. "Deliverables" means the specific work product, reports, documentation, designs, configurations, code, materials, or other outputs expressly identified as deliverables in an applicable SOW.
  4. "Confidential Information" has the meaning set forth in Section 7 below.
  5. "Background IP" means any pre-existing or independently developed concepts, methodologies, know-how, tools, software, templates, scripts, frameworks, processes, documentation, inventions, works of authorship, and other intellectual property owned or controlled by a Party outside the scope of this Agreement or any SOW.
  6. "Applicable Law" means all laws, regulations, ordinances, rules, orders, and legally binding governmental requirements applicable to a Party's performance under this Agreement or any SOW.
Each SOW should be read together with this Agreement. The Parties should ensure that every SOW clearly defines scope, assumptions, dependencies, deliverables, milestones, fees, expenses, and acceptance procedures before work begins.
Relationship to SOWs
This Agreement governs the legal framework for all services performed under any SOW unless the Parties expressly agree otherwise in writing. No oral statement, purchase order, email instruction, or course of dealing shall amend this Agreement unless expressly stated in a written amendment or in a duly executed SOW signed by authorized representatives of both Parties.

2. Statements of Work, Priority of Documents, and Engagement Process

  1. No Services are required to be performed unless and until the Parties execute an SOW that references this Agreement.
  2. Each SOW shall identify, at a minimum, the scope of Services, Deliverables, timeline or schedule, key assumptions, Client dependencies, fees or rate structure, invoicing approach, acceptance criteria if applicable, and any project-specific terms.
  3. Any change to an executed SOW shall be documented through a written change order, amendment, or replacement SOW signed by authorized representatives of both Parties.
  4. Provider may rely on the assumptions, dependencies, access rights, and approval timelines stated in the applicable SOW when planning and performing the Services.
Priority of Documents
In the event of a conflict between documents, the following order of precedence shall apply unless an SOW expressly states that a specific provision is intended to override this Agreement for that SOW only: (a) the applicable SOW, but solely with respect to the subject matter of that SOW; (b) this Agreement; and (c) any purchase order, intake form, or administrative document issued by Client. For clarity, preprinted terms on purchase orders, portals, procurement forms, or vendor registration materials shall have no force or effect unless expressly accepted in a writing signed by Provider.
3. Services, Performance Standards, Deliverables, and Acceptance
  1. Provider shall perform the Services in a professional and workmanlike manner using personnel with appropriate skill, training, and experience, and shall use commercially reasonable efforts to meet the schedule and milestones stated in the applicable SOW.
  2. Unless expressly stated otherwise in an SOW, any dates or milestones are good-faith estimates dependent on Client's timely performance of its obligations, including provision of information, access, approvals, and materials.
  3. Provider is not responsible for delays caused by Client, third-party vendors, force majeure events, changes in scope, inaccurate assumptions, or dependencies outside Provider's reasonable control.
  4. If an SOW includes formal acceptance criteria, Client shall review each Deliverable within the review period stated in the SOW, or if no period is stated, within ten business days after delivery. Client shall either provide written acceptance or written notice specifying in reasonable detail any material nonconformity with the agreed acceptance criteria.
  5. If Client rejects a Deliverable in good faith for material nonconformity, Provider shall use commercially reasonable efforts to correct the nonconformity and resubmit the Deliverable. The corrected Deliverable shall be subject to one further review cycle on the same standard unless the SOW states otherwise.
  6. A Deliverables are accepted upon approval, use, no timely rejection, or progression to the next phase.
Acceptance should be tied to objective criteria in each SOW. If no objective criteria are defined, acceptance disputes become more difficult to resolve.
Except as expressly provided in an SOW, Provider does not guarantee any particular business outcome, revenue result, regulatory approval, market adoption, uptime level, or performance improvement beyond the express commitments stated in this Agreement and the applicable SOW.

4. Client Responsibilities; 5. Fees, Invoicing, Payment Terms, Taxes, and Expenses

4. Client Responsibilities and Cooperation
  1. Client shall provide timely access to personnel, facilities, systems, networks, software environments, documentation, data, credentials, materials, decisions, and approvals reasonably required for Provider to perform the Services.
  2. Client shall ensure that all information and materials supplied to Provider by or on behalf of Client are accurate, complete, and lawfully provided for the intended use.
  3. Client shall designate a qualified project contact with authority to make decisions, coordinate internal stakeholders, and provide approvals or instructions on Client's behalf.
  4. Client acknowledges that Provider's performance is dependent upon Client's timely cooperation. Any delay by Client in providing access, feedback, approvals, content, or dependencies may result in schedule adjustments, additional fees, or both, to the extent reasonably necessary.
  5. Client is responsible for obtaining any third-party consents, licenses, or internal approvals required for Provider to access Client systems, data, platforms, or facilities, except to the extent an SOW expressly assigns that responsibility to Provider.
5. Fees and Invoicing
  1. Client shall pay the fees set forth in each applicable SOW. Unless otherwise stated in the SOW, fees are based on the scope, assumptions, schedule, and responsibilities described therein.
  2. Provider shall invoice in accordance with the schedule stated in the SOW. If no invoicing schedule is stated, Provider may invoice monthly in arrears for time and materials Services, and upon delivery or milestone completion for fixed-fee Services.
  3. All undisputed amounts are due within thirty days after the invoice date.
  4. Client shall notify Provider in writing of any good-faith dispute regarding an invoice within ten business days after receipt, specifying the basis for the dispute in reasonable detail. Client shall timely pay all undisputed portions of the invoice.
  5. Overdue amounts may accrue interest at the lesser of one and one-half percent per month or the maximum rate permitted by Applicable Law, calculated from the original due date until paid in full.
  6. Provider may suspend services for unpaid amounts after 15 days’ written notice, without liability for resulting delays.
Taxes
Fees do not include sales, use, value-added, withholding, or similar taxes, duties, or governmental charges, except taxes based on Provider's net income. Client shall be responsible for all such taxes arising from the Services or Deliverables, provided that Provider shall provide commercially reasonable cooperation with any valid exemption process.
Expenses
Client shall reimburse Provider for reasonable out-of-pocket travel and other pre-approved expenses incurred in performing the Services, provided such expenses are authorized in the applicable SOW or otherwise approved in writing by Client. Provider shall maintain customary supporting documentation upon reasonable request.
A suspension right for non-payment should be paired with a clear notice requirement and should preserve Provider's right to extend milestones affected by the suspension period.

6. Intellectual Property Rights and Ownership

Except as expressly stated in this Section 6, each Party retains all right, title, and interest in and to its own intellectual property, including its Background IP, and no ownership rights transfer by implication, estoppel, or otherwise.
Client Ownership of Custom Deliverables

Subject to Client's full payment of all amounts due under the applicable SOW, Provider hereby assigns to Client all right, title, and interest in and to the custom Deliverables expressly identified in the applicable SOW as work product to be owned by Client, excluding Provider Background IP and any third-party materials.
  2. To the extent any such rights do not automatically vest or transfer, Provider shall execute reasonable further documents necessary to confirm the foregoing assignment, provided Client reimburses Provider for any substantial out-of-pocket costs associated with such assistance.
  3. If an SOW states that certain Deliverables are licensed rather than assigned, the licensing terms in that SOW shall control for those Deliverables.
Provider Background IP and Residual Rights
  1. Provider retains ownership of all pre-existing and reusable IP, tools, code, frameworks, and methodologies.
  2. Provider may reuse general skills and know-how without disclosing confidential information or infringing client IP.
  3. Client receives a broad, perpetual license to use embedded Provider IP as needed for the Deliverables.
Mutual Limited Licenses
  1. During the term of an applicable SOW, Client grants Provider a limited, non-exclusive, non-transferable right to access and use Client materials, systems, and intellectual property solely as necessary to perform the Services.
  2. Provider may use Client's name and marks only with Client's prior written consent, except to the extent required to identify Client internally for project administration.
  3. Unless an SOW expressly states otherwise, no source code escrow, open-source audit, patent assignment, or transfer of moral rights is required under this Agreement.
