Executive Summary & Retainer Value Proposition
- Suitable use cases include ongoing growth marketing, recurring design and content execution, continuous infrastructure management, optimization workstreams, platform maintenance, and retained strategic advisory support.
- Priority partner benefits may include reserved team time, weekly or bi-weekly operating reviews, defined escalation channels, preferred overage pricing, and higher queue priority than non-retainer work.
- The parties may tailor service emphasis by tier while keeping this master agreement structure intact.

Unused Hours | Unused monthly hours may roll over only to the immediately following month. |
Rollover Cap | Rollover is capped at 20% of the active monthly allocation for the selected tier. |
Non-Cumulative | Rolled hours are non-cumulative and expire if not used in the immediate next month. |
Usage Sequence | Current-month hours are consumed first unless the Provider’s reporting system states otherwise. |
Overage Approval | Work expected to exceed included capacity requires Client approval by email, ticket approval, or another written authorization channel before overage billing begins. |
Overage Rate | Approved overage hours are billed at [custom.overageRate] per hour, which is discounted from the standard rate of [custom.standardRate] per hour. |
Unauthorized Excess | If the Client requests continued work after notice that capacity is exhausted, such work will be treated as approved overage unless the Client directs a pause in writing. |
No Carryforward After Termination | Unused or rolled hours do not convert to cash value, credit balance, or post-termination entitlement unless expressly stated in a signed amendment. |

High | Issue causing significant impairment, deadline risk, or stakeholder blockage with limited workaround | Within 1 business day | Escalate to account manager or project lead for same-cycle reprioritization | Campaign malfunction, priority design revision, major bug affecting key workflow |
Normal | Routine task, planned request, optimization item, or advisory need not threatening immediate business continuity | Tier 1: within 48 hours; Tier 2: within 24 hours; Tier 3: prioritized under active operating cadence | Handled through normal queue and planning cadence | Reporting request, content update, backlog item, routine optimization |
