1. Header & Contracting Parties

Illustrative sample data only. Replace the names, addresses, dates, payment figures, quotas, and covenant period before signing.
This Agreement is entered into as of October 1, 2026 by and between Northstar Supply Co., with its principal place of business at 100 Example Plaza, Austin, TX 78701 (the "Employer"), and Avery Reed, on behalf of Reed Sales LLC, with an address at 200 Sample Street, Austin, TX 78702 (the "Representative"). Employer and Representative may each be referred to herein as a "Party" and collectively as the "Parties."
The purpose of this Agreement is to define the compensation structure and related obligations applicable to Representative's sales activities performed for Employer, including hourly compensation, commission eligibility, quota expectations, bonus opportunities, documentation standards, confidentiality obligations, restrictive covenants, and post-termination rights.
  • Representative is engaged to solicit and support sales of Employer-approved goods and/or services under the terms of this Agreement.
  • Nothing in this Agreement shall be construed as granting Representative any ownership interest in Employer's intellectual property, customer relationships, trade secrets, or business operations.
  • Representative acknowledges that compensation under this Agreement is conditioned on compliance with Employer policies, approved sales processes, and all applicable laws.
Defined Relationship
Except as expressly stated in a separate written instrument signed by both Parties, this Agreement does not create a partnership, franchise, joint venture, fiduciary relationship, or exclusive territory. Representative's authority is limited to the express permissions set forth below.

2. Authorization & Documentation Protocol

Non-Exclusive Authorization
Employer grants Representative a personal, non-transferable, non-exclusive authorization to market and sell Employer-approved goods and/or services during the term of this Agreement, strictly in accordance with Employer's official brand standards, product descriptions, pricing approvals, and sales policies.
  • Representative may not assign, sublicense, delegate, or otherwise transfer any selling authority without Employer's prior written consent.
  • Representative may not rebrand Employer offerings, alter product descriptions, modify contract language, or present unauthorized guarantees, warranties, or commitments.
  • Representative may not change pricing, offer unapproved discounts, extend unapproved credits, or bind Employer to any term not expressly approved in writing by Employer.
  • Representative must use only Employer-approved proposals, order forms, scripts, pricing sheets, and customer-facing materials.
Mandatory Documentation and Tracking
Representative shall accurately and timely record all sales activity using Employer-approved tools, which may include customer relationship management platforms, standard order forms, quote logs, call records, calendar notes, and sales pipeline documentation designated by Employer from time to time.
  • Each opportunity must be logged with sufficient detail to identify the customer, proposed goods or services, expected revenue, expected profit, status, and anticipated close date.
  • No sale will be considered fully documented unless all required CRM entries, approvals, and supporting order records have been completed.
  • Employer may rely exclusively on its internal records to determine whether a sale is approved, finalized, funded, delivered, returned, canceled, or otherwise commissionable under this Agreement.

3. Restrictive Covenants (Non-Compete & Non-Disclosure)

Non-Compete
During the term of this Agreement, and for a period of one year following termination of this Agreement for any reason, Representative shall not, within the geographic scope permitted by applicable law, directly or indirectly own, manage, operate, control, participate in, consult for, be employed by, or render sales or business development services to any business that competes with the specific goods or services sold on behalf of Employer, except as otherwise prohibited or limited by applicable law.
Notwithstanding the foregoing, passive ownership of publicly traded securities or a non-controlling passive investment in a competing enterprise shall not violate this Section, provided Representative exercises no operational, managerial, strategic, or sales-related role in such enterprise.
Non-Disclosure & Confidentiality
Representative shall keep strictly confidential and shall not, during or after the term of this Agreement, use or disclose except as necessary for authorized performance under this Agreement any proprietary or non-public information of Employer, including trade secrets, pricing models, prospect lists, customer information, sales methods, financial data, product roadmaps, internal processes, training materials, software access credentials, and other confidential business information.
  • Representative shall use confidential information solely for Employer-authorized purposes.
  • Representative shall safeguard all customer data and personal information in accordance with Employer policy and applicable privacy, security, and data-protection law.
  • Upon request or upon termination, Representative shall promptly return or destroy Employer confidential information and all copies, subject to any retention required by law.

4. Representative Responsibilities, Quotas & Timekeeping

Performance Quotas
Representative shall maintain a minimum monthly profit quota of $10,000. For purposes of this Agreement, quota attainment shall be measured using Employer's approved accounting and profit-recognition methodology, and Employer's records shall control absent manifest error.
  • Failure to meet the required monthly profit quota for two consecutive months may constitute grounds for termination of this Agreement, with or without prior warning, subject to applicable law.
  • Employer may review quota attainment monthly and may issue coaching directives, corrective action requirements, or revised performance expectations in writing.
  • Unless expressly stated otherwise in writing, quota calculations are based on recognized profit from finalized sales and are separate from payroll timing.
Time Off & Vacation Policy
Representative understands and agrees that no paid time off, paid vacation, or other paid leave is provided under this Agreement unless required by applicable law or set forth in a separate written policy. Unworked hours are unpaid and do not excuse failure to meet quota expectations except to the extent required by law, including approved protected leave such as leave under the Family and Medical Leave Act where applicable.
Timekeeping Requirements
  • Representative shall accurately record all hours worked, login times, logout times, breaks, and mandatory meal periods in Employer's designated CRM, timekeeping, or workforce management system.
  • Representative shall submit all required entries on a current basis and shall not falsify, omit, or manipulate time records or sales records.
  • If Representative is classified as non-exempt under applicable law, overtime must be recorded and handled in accordance with Employer policy and governing wage-and-hour requirements, whether or not pre-approved.

5. Compensation, Commission & Bonus Structure

Base Hourly Rate & Overtime Status
Representative shall be paid a base hourly rate of $25.00, which must at all times satisfy or exceed the minimum wage required under applicable law in Texas. Representative's entitlement to overtime premium pay, if any, shall be determined under applicable federal and state law based on the Representative's classification and actual duties performed, and nothing in this Agreement shall waive any non-waivable wage rights.
Payout Schedule & Terms
  • Commissions shall be calculated on a monthly calendar basis.
  • Commission payments, if earned and payable, shall be issued on the 15th day of the following month.
  • Sales that are not finalized, funded, accepted, or otherwise recognized as complete by month-end shall roll over and be evaluated in the next applicable commission cycle.
  • Employer may withhold, adjust, or defer commission calculations pending verification of profit, customer payment status, fulfillment status, fraud review, returns, disputes, or incomplete documentation.

To the fullest extent permitted by applicable law, the relationship between the Parties is at will, meaning either Party may terminate the relationship at any time, with or without cause, and with or without advance notice.
Representative shall not earn and Employer shall have no obligation to pay commissions on sales that close, are funded, are accepted, or otherwise become commissionable after the effective termination date of this Agreement, unless payment is required by applicable law or expressly required under another written agreement signed by Employer.
