IV. Purchase price
The total purchase price for the property shall be $120,000. The purchase price shall be paid by Buyer to Seller in the manner elected below and in accordance with the payment schedule stated in this Agreement.

VI. Installments
The Parties do not elect installment payments in this sample transaction. Buyer will pay the full $120,000 purchase price by wire transfer at closing on October 15, 2026.
Taxes and legal clauses
VII. Taxes
Buyer shall be responsible for and shall timely pay all transfer taxes, sales taxes, recording charges, filing expenses, and similar transaction costs arising from the transfer contemplated by this Agreement, unless mandatory law requires a different allocation.
Seller shall remain responsible for all personal property taxes attributable to the property through October 15, 2026. Beginning on October 15, 2026, Buyer shall assume and be responsible for all personal property taxes and similar charges attributable to the property.
VIII. Governing law
This Agreement shall be governed by, construed under, and enforced in accordance with the laws of California, without regard to conflict of laws rules that would require application of another jurisdiction's laws.
IX. Disputes
- Any dispute, claim, or controversy arising out of or relating to this Agreement, the transaction contemplated by this Agreement, or the breach, termination, enforcement, interpretation, or validity of this Agreement shall be brought in California.
- Before commencing arbitration, the Parties shall first attempt in good faith to resolve the dispute through mediation in California.
- If mediation does not resolve the dispute, the matter shall be submitted to binding arbitration administered under the rules of the American Arbitration Association then in effect.
- Judgment on the arbitration award may be entered in any court of competent jurisdiction.
X. Severability
If any provision of this Agreement is held invalid, illegal, or unenforceable, that determination shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect to the fullest extent permitted by law.
XI. Integration
This Agreement constitutes the entire agreement between the Parties with respect to the subject matter stated in this Agreement and supersedes all prior or contemporaneous oral and written negotiations, discussions, representations, understandings, and agreements relating to that subject matter. No amendment, modification, or waiver shall be effective unless it is in writing and signed by all Parties bound by it.
XII. Execution

Each individual signing represents and warrants that he or she is duly authorized to sign and bind the person or entity identified with that signature.
