Human Resources Services Proposal

Prepared for [Client.FirstName] [Client.LastName], [Client.Company]
Prepared by [Sender.FirstName][Sender.LastName], [Sender.Company]

Requirements Summary

The following challenges describe a fictional example for Alderworks Manufacturing LLC. They are sample planning assumptions, not findings from an assessment.
Organizational challenge
Illustrative description and effect
Payroll reconciliation
Payroll inputs arrive from several managers in different formats, leaving the HR team to resolve exceptions close to each pay date.
Benefits enrollment
Eligibility changes and vendor confirmations are tracked by email, making enrollment status harder to verify.
Manager performance reviews
Review schedules vary by department, so employees receive feedback at different points in the year.
Proposed response
Cedarstone HR Consulting LLC will assign accountable HR consulting support across the service areas in this proposal, document authorized work in signed Statements of Work, and report findings and recommendations to designated Alderworks Manufacturing LLC stakeholders. The engagement can connect recurring administration with periodic reviews so that decisions have an identified owner and a written record.

Proposed HR Services Solution

Cedarstone HR Consulting LLC offers the following HR services for an illustrative initial term of 12 months beginning October 1, 2026, subject to the Agreement Terms and each executed Statement of Work (SOW) or Purchase Order (PO). A SOW will state which services are authorized, the responsible parties, deliverables, reporting cadence, and any client approvals required.
Payroll solutions
Coordinate payroll administration, review payroll inputs and exception reports, support scheduled processing, and provide agreed payroll reporting. Alderworks Manufacturing LLC retains approval of payroll data, employee classifications, payments, and tax filings unless a SOW expressly assigns a task to Cedarstone HR Consulting LLC.
Benefits administration
Support employee enrollment and open enrollment periods, maintain agreed eligibility and enrollment workflows, and coordinate with benefits vendors. The SOW will identify the plan documents, data sources, decision rights, and employee communications within scope; Alderworks Manufacturing LLC remains the plan sponsor where applicable.
Risk management and regulatory compliance
Review HR practices against applicable requirements, including the Affordable Care Act (ACA), Workers' Compensation, and employee certification obligations where relevant to Alderworks Manufacturing LLC's workforce and locations. Track identified gaps, recommend corrective actions, and maintain an agreed action register. Legal interpretations and filings requiring licensed counsel remain subject to Alderworks Manufacturing LLC's legal review and authorization.

Proposed HR Services Solution

Performance management
Develop or refine evaluation frameworks, review cycles, and documented feedback loops. Support managers in using those tools and define leadership development activities in the SOW, including the intended participants and expected work product.
Annual audit and strategy review
Conduct an annual HR audit within the agreed scope, deliver written findings with prioritized recommendations, and review organizational strategy with Alderworks Manufacturing LLC's designated leadership. The audit scope, records to be sampled, access permissions, and delivery date will be specified in a SOW.
Delivery sequence
Confirm scope
Agree on the three client challenges, authorized services, decision rights, and the first SOW.
Establish operations
Document payroll and benefits workflows, reporting responsibilities, and a compliance action register.
Develop capability
Implement agreed performance tools and leadership development activities.
Review and adjust
Deliver the annual audit findings and agree on changes to the HR strategy.

HR Services Pricing

For this fictional pricing example, services are billed for actual authorized hours at the rates below, subject to a monthly Not-To-Exceed ceiling of $10,000 for professional fees. The ceiling is a limit, not a minimum charge or a commitment to spend it. Work expected to exceed it requires Alderworks Manufacturing LLC's written approval before the excess work is performed.
The amounts below illustrate a first month that includes one annual audit and strategy review. That audit is shown once, not as a recurring monthly charge. These rates, hours, tax treatment, and totals are sample figures only; actual work and spending authority require a signed SOW or accepted PO. Line subtotals equal hourly rate multiplied by authorized hours. The final total equals the subtotal less discount plus tax.

Expenses and invoicing
Reasonable travel and out-of-pocket expenses require Alderworks Manufacturing LLC's prior written approval and are reimbursed at actual cost, without markup, against itemized receipts. Unless a SOW expressly states otherwise, approved expenses are separate from the monthly professional-fee ceiling. Invoices will identify the applicable SOW or PO, personnel, dates, hours, rates, and approved expenses.

Agreement Terms

Illustrative sample only: The company names, addresses, date, fees, and other filled-in terms in this agreement are fictional and must be confirmed before use. This Master Services Agreement is effective as of October 1, 2026, between Alderworks Manufacturing LLC, a company based in Chicago, Illinois, at 100 Example Street, Chicago, IL 60601 ("Company"), and Cedarstone HR Consulting LLC, a consultant based in Chicago, Illinois, at 200 Example Street, Chicago, IL 60601 ("Consultant"). Company and Consultant are each a "Party" and together the "Parties."
1. Engagement, term, and work authorization
The illustrative initial term is 12 months from October 1, 2026, unless ended earlier under Section 9. Services will be performed only under a SOW signed by both Parties or a PO accepted by Consultant. Each work authorization must identify scope, deliverables, schedule, pricing basis, monthly cap if applicable, and any Firm-Fixed-Price (FFP) or Time & Materials (T&M) designation. A PO's administrative terms do not amend this Agreement unless both Parties expressly sign the amendment. In a conflict, this Agreement controls unless a signed SOW expressly identifies the provision it replaces.
2. Compensation and travel
For T&M work, Consultant may invoice actual authorized hours at the rates in the applicable SOW or PO, subject to its caps and the illustrative monthly $10,000 professional-fee ceiling where stated. FFP work is invoiced against the agreed price and milestones. Consultant must obtain written authorization before performing work above an applicable cap. Company will pay undisputed amounts under the payment terms in the applicable SOW or PO; the Parties will work promptly to resolve disputed items.
Company will reimburse only pre-approved, reasonable travel and out-of-pocket costs at actual cost without markup, with supporting receipts. Ordinary commuting within a 50-mile radius of Consultant's home or office is not reimbursable. Travel outside that radius remains subject to prior written authorization.
3. Independent contractor
Consultant is an independent contractor and is responsible for its personnel, compensation, and applicable employment-related taxes and withholdings. This Agreement creates no employer-employee relationship, partnership, joint venture, or agency between the Parties. Neither Party may bind the other without express written authorization.

Agreement Terms

4. Records and audit rights
Consultant will keep complete records supporting charges under each SOW or PO for three years after final payment, or longer if applicable law requires. On reasonable written notice during normal business hours, Company may audit records relevant to amounts billed, subject to reasonable confidentiality and security safeguards. Consultant will promptly reimburse verified overcharges. If the audit identifies overcharges exceeding 5% of the audited charges, Consultant will also reimburse Company's reasonable, documented audit costs.
5. Confidentiality
For five years after disclosure, each receiving Party will protect the other Party's nonpublic proprietary technical, business, and financial information with reasonable care, use it only to perform or receive services under this Agreement, and disclose it only to personnel and advisers who need it and are bound to protect it. These duties do not apply to information the receiving Party can show was already lawfully known, became public without breach, was lawfully received from another source without a duty of confidence, or was independently developed without use of the disclosed information.
If disclosure is required by law, the receiving Party may disclose only what is required and, where legally permitted, will give prompt notice so the disclosing Party can seek protection. At the disclosing Party's request or on termination, the receiving Party will return or securely destroy confidential information, except copies required by law or retained in routine backups subject to continuing protection. Employee and other personal data will also be handled under applicable privacy law and any signed data-processing terms.
6. Services warranty and immigration compliance
Consultant warrants that it will perform authorized services with reasonable professional care and in compliance with laws applicable to its performance. If Company gives written notice describing deficient services, Consultant will re-perform the affected services without additional professional fees within 15 days after receipt, where re-performance is reasonably possible. The Parties will document an alternative remedy if that period cannot reasonably accommodate the required correction.
Consultant is responsible for Form I-9 verification for its own employees as required by applicable law and will use E-Verify where participation is legally required or expressly agreed in the SOW. Company remains responsible for verification and employment decisions concerning its own employees unless applicable law and a signed SOW permit and assign a specific administrative task to Consultant.

Agreement Terms

7. Insurance and workplace safety
During performance, Consultant will maintain general liability and property damage coverage with minimum limits of $400,000 per occurrence and $1,000,000 aggregate, plus automobile liability coverage appropriate to vehicles used in the services and any coverage required by applicable law or a SOW. On request, Consultant will provide evidence of coverage. Coverage requirements do not reduce liabilities otherwise imposed by this Agreement.
Consultant personnel will follow applicable workplace safety rules and Company's site policies supplied in writing. In an emergency involving Consultant personnel at a Company site, Company may call emergency medical services; each Party remains responsible for its own obligations under applicable law.
8. Publicity
Neither Party may issue a press release, identify the other Party as a client or service provider in public marketing, or use the other Party's name or marks without that Party's prior written consent, except as required by law.
9. Termination
Either Party may terminate this Agreement or an affected SOW for a material breach that remains uncured 10 days after written notice describing the breach. Either Party may terminate immediately by written notice if the other becomes subject to bankruptcy, insolvency, or similar proceedings, to the extent termination is permitted by applicable law. Either Party may terminate for convenience on 30 days' written notice; the applicable SOW may specify a different convenience notice period.
On termination, Consultant will stop affected work, take reasonable steps to limit further costs, and provide completed work paid for by Company, subject to the SOW's ownership terms. For T&M work, Company owes authorized services actually performed through termination and approved, noncancelable expenses incurred before notice, subject to applicable caps. For FFP work, Company owes completed and accepted milestones plus a documented, reasonable portion of the fixed price for authorized work performed toward unfinished milestones, without exceeding the agreed FFP amount; amounts already paid are credited. Consultant will submit a final itemized invoice and refund any unearned advance.

Agreement Terms

10. Liability and indemnification
To the extent permitted by applicable law, neither Party is liable to the other for indirect, incidental, punitive, special, or consequential damages arising from this Agreement, even if advised that such damages were possible. Consultant's total aggregate liability arising from a SOW or PO, including any indemnification obligation expressly stated in that work authorization, will not exceed the total value of that SOW or PO less payments made to Consultant under it. The Parties should confirm with counsel how this cap applies if payments would reduce it to zero and whether applicable law requires any exceptions.
Any indemnity must be stated expressly in a signed SOW or amendment, identifying the claims covered, defense procedures, and exclusions. This Agreement does not create an unstated duty to indemnify. Neither Party's rights or remedies may be limited where the governing law prohibits that limitation.
11. Severability, governing law, and jurisdiction
If a provision is unenforceable, the remaining provisions remain effective to the extent the Agreement can operate without it. This illustrative Agreement is governed by the laws of Illinois, excluding its conflict-of-laws rules. Subject to any mandatory legal requirements, the courts located in Cook County, Illinois, will have jurisdiction over disputes arising from this Agreement.
12. Notices, amendments, and counterparts
Formal notices under this Agreement must be sent to the addresses stated in the opening paragraph, or to a replacement address designated by written notice, by certified mail with return receipt requested. Amendments must be in writing and signed by both Parties. This Agreement may be signed in counterparts and by permitted electronic signature; together, the signed counterparts form one agreement.
