This End User License Agreement (EULA) (the “Agreement”) becomes effective on (Document.CreatedDate) and is made between the following parties:
Background
Under this EULA, the Vendor agrees to license their software application to the Licensee. The Licensee, in turn, agrees to obtain the Software license in accordance with the terms and conditions set forth in this Agreement.
In recognition of the mutual commitments described herein, the parties agree to the following terms:
License
Under this Agreement, the Vendor provides the Licensee with a non-transferable, non-exclusive license to use the Software, (Software Name). The Software encompasses all executable files as well as any related electronic, online, or printed documentation.
All rights to the Software’s title, intellectual property, and distribution remain with the Vendor. This Agreement grants the Licensee usage rights only and does not convey any ownership of the Software.
The Software may be installed on only one computer, and the Licensee is permitted to create a single backup copy. The Licensee may not transfer any rights or obligations granted under this Agreement to any other individual or entity.
This license strictly prohibits decompiling, reverse-engineering, or altering the Software by any means, whether using existing or future technologies. Any violation of these terms will constitute a breach of this Agreement.
License Fee
The Licensee agrees to pay a license fee of $(amount), representing the full amount specified in this Agreement.
Limitation of Liability
The Vendor provides the Software on an “as is” basis, and the Licensee accepts it in its current condition. The Vendor shall not be liable for any special, general, or consequential damages—including, without limitation, loss of data, revenue, or profits. The Licensee assumes full responsibility for any losses arising from the use or malfunction of the Software.
Furthermore, the Vendor does not warrant that the Software will operate without errors or interruptions. The Software may contain defects or bugs within an acceptable tolerance level. The Vendor also makes no guarantees regarding the Software’s suitability for any specific needs or requirements of the Licensee.
Representations and Warranties
The Vendor is the rightful copyright owner of the Software and guarantees that issuing this license does not infringe upon any applicable laws, agreements, or existing copyrights.
Acceptance
The Licensee agrees to uphold all conditions, terms, and obligations throughout the duration and implementation of this Agreement.
User Support
This Agreement does not include any maintenance or user support services.
Term
This Agreement becomes effective immediately upon acceptance.
Termination
This Agreement shall terminate if the Licensee fails to adhere to any of its provisions. Upon termination, the Licensee must either return the Software to the Vendor or permanently destroy it as directed.
Governing Law
The parties to this Agreement submit to the jurisdiction of the courts of the State of (State) for any enforcement actions or disputes arising from this Agreement. The Agreement shall be interpreted and enforced in accordance with the laws of that State.
Miscellaneous
- This Agreement may only be amended through a written document signed by both the Licensee and the Vendor.
- Nothing in this Agreement creates or implies any partnership, joint venture, or other relationship between the parties.
- All headings in this document are included solely for convenience and do not influence the interpretation of any provisions.
- If any provision of this Agreement is deemed invalid or unenforceable by a court, it shall be removed without affecting the validity or enforceability of the remaining provisions.
- All terms and conditions contained in this Agreement shall also apply to the Vendor’s successors and assigns.
