Preamble & Licensed Property Grant
This Royalty Agreement (the "Agreement") is made and entered into on September 30, 2026 by and between Jordan Lee ("Grantor") and Taylor Morgan ("Grantee"). Grantor represents that Grantor owns and controls certain proprietary illustrated artwork (the "Property"), and Grantee desires to commercially utilize the Property for a period of three years in the United States and abroad, subject to the terms and conditions set forth herein.
Rights
- Grantor hereby grants to Grantee a global non-exclusive license, as specified in the applicable transaction documents, to use, market, distribute, reproduce, perform, display, exploit, and otherwise commercially utilize the Property solely within the defined project scope and for the agreed Term.
- The rights granted under this Agreement are limited to lawful commercial purposes and do not convey any ownership interest in the Property or in any patents, trademarks, copyrights, trade secrets, know-how, derivative rights, or other intellectual property of Grantor.
- Any use of the Property outside the approved scope, outside the agreed timeline, or for any illegal, deceptive, unethical, or unauthorized purpose is strictly prohibited and shall constitute a material breach of this Agreement.
- Grantor reserves all rights not expressly granted to Grantee under this Agreement.
Important: The license granted under this Agreement authorizes commercial use only within the approved business purpose and term; it does not transfer title to the Property.
Licensed Property and Territory
For purposes of this Agreement, the "Property" means the illustrated artwork and all related materials, specifications, embodiments, documentation, supporting files, and ancillary rights that Grantor elects to deliver or make available to Grantee in connection with the licensed project. The licensed territory is the United States and all foreign jurisdictions in which Grantee lawfully conducts business, subject at all times to applicable law, export restrictions, and the limitations expressly stated in this Agreement.
Representations, Warranties & Financial Compensation
Representations & Warranties
- Grantor represents and warrants that Grantor is the sole owner of, or otherwise possesses full lawful authority to license, the Property and to enter into and perform this Agreement.
- Grantor shall provide all documentation, approvals, registrations, chain-of-title support, and other materials reasonably necessary to evidence Grantor's licensing authority and to enable Grantee's authorized use of the Property.
- Grantor shall indemnify, defend, and hold Grantee harmless from claims arising out of a breach of Grantor's title, ownership, or licensing authority with respect to the Property.
- Grantee represents and warrants that Grantee shall exercise commercially reasonable care in handling all proprietary information, shall use the Property only as permitted by this Agreement, and shall comply with all applicable laws, industry standards, and safety obligations in connection with Grantee's operations.
- Grantee shall indemnify, defend, and hold Grantor harmless from losses, claims, damages, liabilities, costs, and expenses arising out of bodily injury, property damage, operational failures, or other harm caused by Grantee's negligence, misconduct, or misuse of the Property.
Royalties & Consideration
In consideration for the rights granted herein, Grantee shall pay Grantor (a) an upfront lump-sum payment in the amount of $[LumpSum.Amount], and (b) ongoing royalty compensation equal to [NetProfit.Percentage]% of Net Profits derived from the Property during the Term.
Net Profits
For purposes of this Agreement, "Net Profits" means total gross proceeds actually received from commercialization, sale, license, distribution, or other monetization of the Property, less only the following categories to the extent directly attributable and properly documented: manufacturing costs, marketing costs, general or overhead expenses, taxes, and direct sales fees.
