SAMPLE PAYMENT AGREEMENT

Fictional debt repayment terms and payment schedule

Contracting parties

Agreement effective date: September 29, 2026
Creditor (Lender)
Morgan Ellis, Managing Member, Sample Creditor LLC
100 Example Plaza, Suite 200 Albany, NY 12207
Debtor (Borrower)
Jordan Lee, Managing Member, Sample Debtor LLC
200 Sample Street, Suite 300 Albany, NY 12207
The Creditor and Debtor agree to the fictional repayment terms below. This example is for illustration and is not ready for signature. The payment schedule forms part of the example agreement.

1. Principal amount and interest rate

The Debtor acknowledges the outstanding principal debt stated below and agrees to pay it, together with interest calculated under this section, according to the completed payment schedule.
$3,000.00
Total outstanding principal debt
0% per annum
Applicable interest rate
December 29, 2026
Final maturity date

Interest calculation

Interest accrues on unpaid principal from September 29, 2026 through the date principal is paid at 0% per annum. The calculation convention is simple interest using actual days over a 365-day year. Under this example, no interest is due if payments follow the schedule. Interest must not exceed the amount permitted by applicable law.
For each installment, the interest portion is calculated for the applicable accrual period under the selected convention. The principal portion is the total installment due less that interest portion. The completed schedule must reconcile with the outstanding principal, accrued interest, and final maturity date.

Application of payments

Unless applicable law requires a different order, the Creditor will apply each payment first to lawful, unpaid fees, then to accrued interest, and then to principal. The Creditor will provide a written balance statement on reasonable request.

2. Payment schedule and repayment method

The $3,000.00 principal is due in three $1,000.00 installments. The interest portion of each scheduled payment is $0.00 because the example interest rate is 0%.

The Debtor shall pay each installment by check. The Creditor shall provide any replacement mailing instructions in writing; a change in payment destination does not change an installment’s due date or amount.

A payment is received when the Creditor receives a check that is subsequently honored. A returned or rejected payment is not considered received.

3. Late payment and default

Late payment fee: $0.00. No late fee applies under this fictional example. An unpaid installment remains due, subject to the notice-and-cure terms below.
If an installment is not paid when due, the Creditor may send written notice of default. If the Debtor does not cure the missed payment within 10 calendar days after receipt of that notice, the Creditor may, to the extent permitted by applicable law, declare the unpaid principal, accrued interest, and lawful unpaid fees immediately due and pursue available collection remedies.

4. Termination, governing law and severability

  • This Agreement remains in effect until the outstanding balance is paid in full. The Debtor may prepay all or part of the balance without a prepayment penalty; interest stops accruing on principal when that principal is paid.
  • This Agreement is governed by the laws of New York, subject to any mandatory law that applies. Subject to applicable jurisdiction and venue requirements, disputes shall be brought in the courts serving Albany County, New York.
  • If a provision is held invalid or unenforceable, the remaining provisions continue in effect to the extent permitted by law.
  • This Agreement and its completed payment schedule constitute the parties’ entire agreement concerning this debt repayment plan. An amendment must be in writing and signed by both parties.
Written notices
Notices under this Agreement must be sent to the party addresses on the cover by certified mail, return receipt requested. A party may update its notice address by written notice to the other party. Notice is effective on the date shown on the signed delivery receipt, subject to applicable law.
