This End User License Agreement (“Agreement”) is effective as of (Effective date) and is entered into by and between the following parties:

Background
Under this EULA, the Vendor grants the Licensee a license to use the software application, and the Licensee agrees to obtain and use the Software strictly in accordance with the terms and conditions of this Agreement.
In consideration of the mutual covenants and obligations set forth herein, the parties agree as follows:

License
Under this Agreement, the Vendor grants the Licensee a non-exclusive, non-transferable right to use the Software (“Software Name”), including its documentation. All ownership and intellectual property rights remain with the Vendor.
The Software may be installed on one device with one backup copy permitted. The Licensee may not transfer, modify, reverse-engineer, or alter the Software. Any violation constitutes a breach of this Agreement.

License Fee
The Licensee agrees to pay a license fee of $(amount) as the total amount due under this Agreement.
Limitation of Liability
The Software is provided on an “as is” basis, and the Licensee accepts it without any warranties. The Vendor shall not be responsible for any direct, indirect, or consequential damages, including loss of data, revenue, or profits. All risks arising from the use of the Software rest with the Licensee.
The Vendor does not guarantee uninterrupted or error-free operation and makes no assurances regarding the Software’s fitness for any particular purpose.
Representations and Warranties
The Vendor represents that it is the lawful owner of the Software’s copyright and that granting this license does not violate any applicable laws, agreements, or third-party rights.
Acceptance
The Licensee agrees to comply with all terms, conditions, and obligations of this Agreement for its entire duration.
User Support
This Agreement does not provide for any maintenance or user support services.
Term
This Agreement takes effect immediately upon acceptance.
Termination
This Agreement will terminate upon the Licensee’s failure to comply with any of its terms. Upon termination, the Licensee must return the Software to the Vendor or permanently destroy it as instructed.
Governing Law
The parties agree that any disputes or enforcement actions arising from this Agreement shall be subject to the jurisdiction of the courts of the State of (State) and governed by the laws of that State.
Miscellaneous
This Agreement may be modified only by a written amendment signed by both the Vendor and the Licensee.
Nothing in this Agreement creates or implies a partnership, joint venture, or agency relationship between the parties.
Headings are included for convenience only and do not affect the interpretation of this Agreement.
If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement is binding upon and shall inure to the benefit of the Vendor’s successors and permitted assigns.
