Planner Services

Sample details on pages 2 through 5 are illustrative. Replace them with the parties’ agreed terms before signing.
The Decorator will perform the following services for the Event in accordance with the design and service details approved in writing by the Client:
  • Set up event decorations before the Event and take them down after the Event within the venue’s permitted access hours.
  • Design, construct, and install the custom floral centerpieces, fabric backdrop, and entryway accents identified in the approved decor plan for the Event.
  • Provide the supplies, materials, and equipment necessary for the agreed decor setup, except items expressly identified as Client-provided.
  • Coordinate decor access, installation, placement, and breakdown with other Event vendors as needed to perform the agreed services.
  • Perform additional Client-requested services only after both parties approve their scope and any added cost in writing.
Decorating timeline
The Decorator will deliver a detailed event decorating timeline to the Client at least 14 days before June 12, 2027. It will identify the planned delivery, setup, installation, vendor coordination, and breakdown sequence and the access needed to carry it out.
Scope and extra-cost approval
The Decorator may not begin any service that incurs an additional fee or commit the Client to an expense outside the approved budget without the Client’s prior written consent. A request or discussion alone does not authorize added work or expenditure.

Payment and Deposits

The total fee for the services expressly included in this Agreement is five thousand dollars ($5,000) (the “Contract Sum”). Any approved additions will be documented separately and will not change the Contract Sum unless the parties sign a written amendment.
A non-refundable deposit of 30% of the Contract Sum is due upon execution of this Agreement and will be credited toward the Contract Sum. The remaining balance is due no later than 7 days before June 12, 2027. The Decorator will provide a written statement of the balance and any separately approved charges.
Unbudgeted materials, rentals, delivery charges, vendor charges, and other additional expenses require the Client’s prior written approval, including the amount or agreed pricing basis. The Client is responsible only for expenses approved in that manner, subject to the cancellation terms below.

Cancelation Policy

Cancellation by the Client
The Client may cancel by written notice to the Decorator. On cancellation, the Client owes the documented expenses incurred for this Event through receipt of notice, plus the pre-negotiated cancellation fee of $750. The Decorator will provide an itemized accounting. Payments already received, including the non-refundable deposit, will be credited against the amount owed; the deposit is not charged a second time. Any excess paid will be returned to the Client within 14 days, except to the extent the deposit remains non-refundable under applicable law.
Cancellation by the Decorator
If the Decorator cancels for a reason other than a force majeure event addressed below, the Decorator must present a replacement decorator or planner for the Client’s written approval and fully reimburse all funds the Client previously paid to the Decorator, including the deposit, within 14 days. The Client is not required to accept a proposed replacement.

Liability and Insurance

The Decorator is solely responsible, as between the parties, for bodily injury or property damage caused by the Decorator’s services, personnel, equipment, or negligent acts or omissions, to the extent permitted by applicable law. This allocation does not make the Decorator responsible for injury or damage caused by the Client, venue, or another independent vendor.
The Decorator will maintain general liability insurance with coverage of at least $1,000,000 during performance of the services and will deliver proof of the policy to the Client before setup begins. Providing proof of insurance does not limit the Decorator’s obligations under this Agreement.

Plan Modifications

Any change to the approved decor plan, service scope, schedule, or Contract Sum before the Event requires a written amendment signed by both parties. The Decorator may decline a proposed change or provide revised pricing and timing for the Client’s written approval. No proposed change is binding until both parties sign it.

Damage to Property

The Decorator will, at no cost to the Client, promptly repair or replace venue or Client property damaged by the Decorator’s services, personnel, or equipment, subject to reasonable access and the property owner’s requirements. The Client is responsible for damage caused by the Client’s negligence or by persons under the Client’s control. Each party will promptly notify the other of known damage and preserve reasonable evidence of its cause.

Security

The Client will provide a safe and reasonably secure work environment and arrange the venue access necessary for setup and breakdown. The Decorator is released from responsibility for theft or property damage arising from the Client’s negligence, but remains responsible for its own acts and omissions. The parties will promptly report any unsafe condition that affects the services.

Promotion Rights

The Client grants the Decorator the right to photograph and record the decor and Event setup and to use media the Decorator owns or is otherwise authorized to use in its portfolio, website, social media, and promotional materials. The Decorator retains ownership of media it creates, subject to any third-party rights. The Decorator must obtain the Client’s written approval before publishing the Client’s name, likeness, address, or other information that identifies the Client. This clause does not transfer ownership of photographs or video created by an independent photographer or videographer.

Severability

If a court finds any provision of this Agreement invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Agreement Modification

This Agreement may be modified only by a written addendum signed by both parties. An email or other written communication constitutes an addendum only if it clearly states the agreed change and bears both parties’ signatures.

Governing Law

The laws of California govern this Agreement, without regard to its conflict-of-laws rules.

Counterparts

The parties may sign this Agreement in multiple counterparts, each treated as an original and together constituting one agreement. Electronic signatures and electronically delivered counterparts have the same effect as originals to the extent permitted by law.

Force Majeure

Neither party is liable for a delay or failure to perform caused by an event beyond its reasonable control, including an Act of God, war, terrorism, strike, or governmental order. The affected party will notify the other promptly, describe the expected effect on performance, and take reasonable steps to reduce the disruption. The parties will discuss a practicable reschedule or cancellation in writing. This clause does not erase payment obligations that arose before the event or the Decorator’s express refund obligation if the Decorator cancels for a reason outside this clause.

Confidentiality

Each party will keep the financial terms and other nonpublic details of this Agreement confidential and disclose them only to its professional advisers, insurers, personnel, or vendors who need the information to perform or administer the Agreement, or when disclosure is required by law. This obligation does not restrict the media use expressly authorized under Promotion Rights, subject to the Client’s identity approval rights.

Acceptance of Terms

By signing below, the parties acknowledge that they have read this Agreement and agree to its terms. The individuals signing represent that they are authorized to bind the respective parties.
