Preamble and recitals

This Consulting Contract Agreement, effective as of October 1, 2026, is entered into by and between Acme Operations LLC (the "Company") and Northstar Advisory LLC (the "Consultant"). The parties agree that this Agreement sets the master terms under which Consultant may perform professional consulting, agency, advisory, implementation, or related services for Company.
The names, dates, amounts, and project details in this agreement are illustrative examples. Confirm and replace them before signing.
WHEREAS, Company wishes to retain Consultant for certain services requiring professional judgment, experience, and deliverable-based performance, and Consultant agrees to provide those services subject to the terms of this Agreement and each applicable Attachment 1 Statement of Work.
Each Statement of Work, purchase order, or other written ordering document that references this Agreement will form part of the contractual record only when signed by both parties or otherwise accepted in writing by authorized representatives. If a conflict arises, the signed Statement of Work governs the commercial and delivery details for that engagement, and this Agreement governs the legal framework unless the Statement of Work states otherwise in clear terms.
Clauses 1 and 2
1. Engagement and statement of work
  • Company engages Consultant as an independent contractor to perform the services described in one or more Attachment 1 Statements of Work.
  • Each Statement of Work may define deliverables, milestones, assumptions, dependencies, acceptance criteria, purchase order references, execution schedules, staffing notes, and fees.
  • Consultant will use commercially reasonable efforts to meet all milestone dates. Time is of the essence with respect to deadlines expressly stated in a Statement of Work.
  • No change in scope, fees, schedule, or not-to-exceed amount is effective unless documented in a written change order, amendment, or revised Statement of Work signed by both parties.

Fixed fee
A total fee for clearly defined scope and deliverables, payable in installments or at completion as stated in the Statement of Work.
Time and materials
Fees based on actual hours or days worked at the approved rates, plus approved reimbursable expenses.
Milestone billing
Fees tied to completion of named deliverables or sign-off events stated in the Statement of Work.
No fees, expenses, or work in excess of the approved not-to-exceed amount of $50,000 may be charged without prior written authorization from Company.

  • Company may withhold disputed amounts in good faith, provided Company gives reasonably prompt written notice describing the basis of the dispute. The parties will work diligently to resolve disputed items, and Company will pay any undisputed balance when due.
  • Late payment on undisputed amounts may accrue interest at the lesser of 1.0% per month or the maximum rate permitted by applicable law, beginning after the payment due date.

Section 3
Status, taxes, and records

4. Independent contractor status and taxes

Consultant is an independent contractor and not an employee, agent, partner, joint venturer, franchisee, or legal representative of Company. Nothing in this Agreement creates any employment relationship, fiduciary duty, partnership, or joint venture between the parties.
  • Consultant retains control over the manner, means, methods, sequencing, staffing, tools, and internal processes used to perform the services, subject to the deliverable, security, compliance, and deadline requirements of the applicable Statement of Work.
  • Consultant is solely responsible for all compensation payable to its personnel and subcontractors, if subcontracting is permitted, and for all federal, state, local, payroll, social security, unemployment, workers' compensation, value added, sales, use, withholding, and self-employment taxes arising from amounts paid to Consultant.
  • Consultant will indemnify, defend, and hold harmless Company from any claim, assessment, penalty, interest, or liability arising out of Consultant's failure to satisfy its tax, payroll, employment, or contractor classification obligations.

5. Audit and record retention

Consultant will maintain complete and accurate books, records, time records, receipts, work papers, subcontract records, and other documents reasonably necessary to verify fees, expenses, and performance under this Agreement and each Statement of Work.
  1. Consultant will retain the records described above for three (3) years after final payment under the applicable Statement of Work, or longer if required by law.
  2. During that retention period, Company or its designated auditor may review relevant records on reasonable prior notice during normal business hours.
  3. If an audit shows overcharges greater than 5% for the audited period or engagement, Consultant will promptly refund the overcharge and reimburse Company's reasonable audit costs related to that finding.
  4. Consultant will cooperate with reasonable requests for explanation or supporting documentation relating to invoices, expenses, milestone completion, and deliverable acceptance.

Section 4
Confidentiality and ownership

6. Confidentiality and proprietary information

"Proprietary Information" means any non-public technical, business, commercial, financial, legal, strategic, operational, customer, supplier, personnel, software, product, security, or other information disclosed by or on behalf of Company in any form, including information learned through access to systems, facilities, personnel, documents, or data.
  • Consultant will use Proprietary Information only as necessary to perform the services and for no other purpose.
  • Consultant will protect Proprietary Information using at least the same degree of care it uses to protect its own confidential information of similar sensitivity, and not less than a reasonable degree of care.
  • Consultant may disclose Proprietary Information only to personnel and approved subcontractors with a need to know and who are bound by written confidentiality obligations at least as protective as this Agreement.
  • The confidentiality obligations in this section continue during the term and for five (5) years after termination or expiration of this Agreement, except for trade secrets, which remain protected for so long as they qualify as trade secrets under applicable law.
The confidentiality obligations do not apply to information that Consultant can demonstrate by written records: was publicly available without breach of this Agreement, was lawfully known to Consultant without restriction before disclosure, was lawfully received from a third party without restriction, or was independently developed without use of or reference to Company's Proprietary Information.
If Consultant is legally compelled to disclose Proprietary Information, Consultant will give prompt notice to Company unless prohibited by law and will disclose only the portion legally required.

All reports, analyses, memoranda, processes, configurations, software, source code, object code, documentation, designs, models, inventions, discoveries, data compilations, training materials, and other work product created, conceived, developed, or reduced to practice by or for Consultant in connection with the services are "Work Product." To the fullest extent permitted by law, Work Product is specially commissioned as a work made for hire for Company.
  • To the extent any Work Product does not qualify as a work made for hire, Consultant irrevocably assigns to Company all right, title, and interest in and to that Work Product, including all intellectual property rights.
  • Consultant will execute further documents and provide reasonable assistance needed to confirm, perfect, or enforce Company's rights in the Work Product.
  • Consultant retains ownership of pre-existing materials, methods, frameworks, know-how, templates, software, and tools developed independently of this Agreement. To the extent any such pre-existing materials are embedded in or required to use the Work Product, Consultant grants Company a perpetual, royalty-free, non-exclusive, transferable license to use, reproduce, display, perform, modify, and permit others to use those materials solely as necessary for Company's use and benefit of the Work Product.

Upon termination, Consultant will stop work as directed, deliver all completed and in-progress Work Product, protect Company data and materials, and submit a final invoice limited to amounts properly earned before the effective date of termination. For fixed-fee work, payment is limited to the prorated value of accepted work actually completed. • Company will promptly notify Consultant of an indemnified claim, provide reasonable cooperation at Consultant's expense, and allow Consultant to control the defense and settlement, except that Consultant may not settle any claim in a manner that admits wrongdoing by Company or imposes non-monetary obligations on Company without Company's prior written consent.
