This Non-Compete Agreement (“Agreement”) is made and entered into as of [Date], by and between [Company], having its principal place of business at [Address] (hereinafter referred to as the “Company”), and [Representative Name] (hereinafter referred to as the “Representative”), who hereby agree to be bound by the terms and conditions set forth herein.
WHEREAS, the Company is engaged in the business of [Describe Business];
WHEREAS, the Representative and the Company have entered into an agreement under which the Representative will perform certain duties, generally described in Exhibit A attached hereto (the “Representative Agreement”); and
WHEREAS, the Representative agrees to the restrictions and obligations contained in this Agreement as partial consideration for the Company’s commitments set forth in the Representative Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Company and the Representative (each, a “Party,” and collectively, the “Parties”) hereby agree as follows:
Acknowledgment of relationship
The Parties acknowledge and agree that this Agreement is executed in consideration of the commitments made under the Representative Agreement
Non-competition
For the duration of the Representative Agreement, as well as any subsequent agreement entered into for the same or a similar purpose, and for a period of [Duration] following the termination of such agreements, the Representative shall not, in any capacity—including but not limited to employee, officer, director, partner, consultant, agent, or owner—engage in or be associated with any business that competes with the Company. This restriction applies to any entity that [Describe Restricted Type of Company] within the [Geographic Area].
It is strongly advised that you consult with a legal professional regarding the enforceability of these provisions, as the applicable laws differ significantly by jurisdiction. For example, such clauses are generally unenforceable in California except under very limited circumstances.
Representative acknowledgments
The Representative acknowledges and agrees that: (a) this Agreement has been mutually negotiated between the Parties; (b) the Representative has had the opportunity to seek independent legal advice regarding its terms; (c) the restrictions set forth herein are fair, reasonable, and necessary to safeguard the Company’s legitimate business interests; and (d) the enforcement of these restrictions will not impose an undue hardship on the Representative’s ability to earn a livelihood.
Applicable law
This Agreement, along with its interpretation and enforcement, shall be governed by and construed in accordance with the laws of the State of [State], and shall be subject to the exclusive jurisdiction of the state and federal courts located in [County], [State].
IN WITNESS WHEREOF, each of the Parties has executed this Contract, both Parties by its duly authorized officer, as of the day and year set forth below.
